Agreement Scope

These Terms and Conditions govern your use of Sterling Harbour's website and engagement of our investment consulting services. By accessing our website or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these terms.

If you do not agree with any provision of these terms, you should not use our website or engage our services. Questions regarding these terms should be directed to [email protected] before proceeding with service engagement.

Definitions

For purposes of these terms:

"Services" refers to investment consulting services offered by Sterling Harbour, including orientation sessions, portfolio construction advisory, and transition planning support as described on our website.

"Client" or "you" refers to individuals or entities engaging or inquiring about our services.

"We," "us," or "our" refers to Sterling Harbour and its authorized representatives.

"Engagement Agreement" refers to specific written agreements executed for particular services, which supplement these general terms.

"Website" refers to all web pages, content, and functionality accessible through our domain.

Service Engagement

Engagement of our investment consulting services requires execution of a specific engagement agreement detailing service scope, fees, deliverables, and timeline. General website access does not constitute a service engagement or advisory relationship.

Eligibility

Our services are intended for individuals aged 21 years or older who are Singapore residents or have substantial connection to Singapore. Services are not offered to U.S. persons or residents of jurisdictions where such services would violate local regulations.

Information Accuracy

You are responsible for providing accurate, complete, and current information during service engagement. Advisory recommendations rely on information you provide. Inaccurate or incomplete information may result in recommendations that do not suit your actual circumstances.

Independent Decision-Making

Our services provide information and perspective to support your investment decision-making. Final decisions regarding portfolio implementation, timing, and specific transactions remain your responsibility. We do not make investment decisions on your behalf unless separately engaged for discretionary portfolio management (a service we do not currently offer).

Prohibited Uses

When using our website or engaging our services, you agree not to:

• Violate any applicable Singapore or international laws or regulations

• Infringe intellectual property rights of Sterling Harbour or third parties

• Transmit malicious code, viruses, or harmful components

• Attempt unauthorized access to our systems or client information

• Engage in fraudulent activities or misrepresent your identity or circumstances

• Harass, abuse, or harm our staff or other clients

• Use automated systems to access our website without permission

• Resell or redistribute our advisory services or content without authorization

Intellectual Property

All content on our website and in our advisory deliverables, including text, graphics, logos, methodology frameworks, and analysis tools, is owned by Sterling Harbour or used under license. This material is protected by Singapore and international copyright, trademark, and other intellectual property laws.

Clients receive limited license to use advisory deliverables for personal investment purposes. You may not reproduce, distribute, modify, or create derivative works from our content without written permission. This restriction does not prevent you from sharing recommendations with other professional advisors (such as attorneys or accountants) as necessary for implementing our guidance.

Payment Terms

Service fees are stated in Singapore Dollars (S$) and are due according to terms specified in the relevant engagement agreement. Typical payment arrangements include:

Fee Structure

Orientation sessions require payment in advance of the scheduled meeting. Portfolio construction advisory and transition planning support typically involve 50% payment at engagement and 50% upon deliverable completion, though alternative arrangements may be negotiated in specific circumstances.

Payment Methods

We accept payment via bank transfer, PayNow, and certain credit cards. Payment instructions are provided in engagement agreements. Processing fees for credit card payments, if applicable, will be disclosed before transaction completion.

Price Changes

Service fees are subject to change. However, fees stated in executed engagement agreements remain fixed for that specific engagement regardless of subsequent price changes.

Taxes

Fees do not include Goods and Services Tax (GST) where applicable. GST will be added to invoices at the prevailing rate as required by Singapore tax law.

Refund Policy

Orientation session fees are non-refundable once the session has been conducted. If you need to cancel or reschedule, notice must be provided at least 48 hours in advance to avoid fee forfeiture.

For portfolio construction advisory and transition planning support, deposits are non-refundable once work has commenced. If you terminate engagement before completion, fees are charged for work completed to that point. Final deliverables are provided only upon full payment of fees due.

Refund requests should be submitted in writing to [email protected]. Processing of approved refunds typically requires 10-15 business days.

Disclaimers and Limitations

No Performance Guarantees: Investment advisory services cannot guarantee specific outcomes or returns. Market performance depends on numerous factors beyond our control. Past performance of investment strategies does not indicate future results.

Service "As Is": Our services are provided on an "as is" basis. While we maintain professional standards, we make no warranties regarding the suitability of recommendations for your circumstances beyond those expressly stated in engagement agreements.

Information Accuracy: Website content is provided for informational purposes and may contain technical inaccuracies or typographical errors. We reserve the right to correct errors and update information without notice.

Liability Limitations: To the maximum extent permitted by Singapore law, our liability for any claims arising from service engagement is limited to fees paid for that specific engagement. We are not liable for indirect, consequential, or punitive damages including lost profits or investment losses.

Professional Indemnity: We maintain professional indemnity insurance as required by MAS regulations. Policy details, including coverage limits and exclusions, are available upon request.

Termination

Either party may terminate an advisory engagement by providing written notice. Termination does not relieve you of obligation to pay fees for services rendered prior to termination date.

We reserve the right to refuse service or terminate engagements where we determine that continuing would be inappropriate, including situations involving misrepresentation, non-cooperation, illegal activity, or where we identify conflicts of interest that cannot be managed appropriately.

Upon termination, we will provide work product completed to termination date. Confidentiality obligations survive termination and continue indefinitely.

Dispute Resolution

In the event of disputes arising from these terms or service engagement, the following process applies:

Informal Resolution

Disputes should first be raised with our advisory team through written notice to [email protected]. We will attempt to resolve concerns through good faith discussion within 30 days of receiving notice.

Mediation

If informal resolution proves unsuccessful, disputes may be submitted to mediation through the Singapore Mediation Centre. Mediation costs are shared equally unless parties agree otherwise.

Arbitration and Jurisdiction

Disputes not resolved through mediation may be submitted to binding arbitration under the Singapore International Arbitration Centre rules. Arbitration proceedings will be conducted in English in Singapore.

These terms are governed by Singapore law. Singapore courts have exclusive jurisdiction over any disputes not subject to arbitration.

General Provisions

Entire Agreement

These terms, together with specific engagement agreements and our privacy policy, constitute the entire agreement between you and Sterling Harbour regarding service engagement. Verbal representations or prior written communications not incorporated into these documents are superseded.

Severability

If any provision of these terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary while remaining provisions continue in full force.

No Waiver

Failure to enforce any provision of these terms does not constitute waiver of that provision or limit our right to enforce it subsequently. Waivers must be in writing to be effective.

Assignment

You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations under these terms in connection with business reorganization or sale, subject to maintaining confidentiality of your information.

Notices

Legal notices required under these terms should be sent to [email protected] or to our registered address. Notices to you will be sent to the contact information you provided during service engagement.

Terms Updates

We may revise these terms periodically to reflect changes in our practices, legal requirements, or service offerings. Material changes will be posted on our website with updated effective date. For active clients, we will provide notice of material changes via email.

Continued use of our website or services following terms updates constitutes acceptance of revised terms. If you disagree with updates, you should discontinue website use and, if engaged for services, discuss termination options with our team.
